Early days: sign-up is open, card payment is not connected yet, and we invoice by hand in the meantime. Business details are still placeholders.

Steward

Customer terms

The deal between you and us: what you get, what you pay, what happens if it runs out, and what happens to your data.

These are drafts, not legal advice.

We are not lawyers and we are not pretending to be. Everything below has to be read and settled by a qualified Australian lawyer before a single customer sees it. Anywhere a legal point is made it is marked [to be confirmed]. Nothing here creates a contract by itself. Every square-bracket placeholder has to be filled in before this goes anywhere, and we will not send a version with a placeholder still in it.

Steward is run by [ENTITY], ABN [ABN], [BUSINESS ADDRESS], [CONTACT EMAIL]. Effective [EFFECTIVE DATE], last updated [LAST UPDATED DATE]. [to be confirmed: these must be reviewed by an Australian lawyer before use]

1. Who we are and what this is

We are a small Australian business. We run a service for you that we call Steward. You pay a flat monthly server plan and buy prepaid assistant credit, and we look after the computer the assistant runs on. You do not need an account with any AI company, and you never need to handle a password or an API key. You deal with us and only us. [to be confirmed: that we are entitled to operate the KJ assistant commercially for paying customers]

We are the ones who hold the accounts with the AI providers. Those accounts are ours, and the keys stay with us. You never see them.

2. What you get, and what you pay for

One private server, for you alone. It runs the KJ assistant, and it is yours to use.

You pay us for two separate things, and they are not the same thing. We name both on every invoice and receipt, on their own line, so there is never any doubt what each one is for.

Line 1: the server plan (the machine)

A flat monthly charge for your own private server. It is payable every month whether or not you use the assistant that month; it pays for the machine and for keeping it running, and nothing else. It does not buy any time on the assistant.

Line 2: AI credits (the assistant's work)

Prepaid credit that buys time on the assistant, at a talk rate published on the rate card: [TALK RATE]. You buy credit in advance, on top of the server plan. Credit belongs to your account and is used only by your own use.

The current amount of each line is set out in our published server plan and credit rate card, which lives at [RATE CARD URL] and is the authoritative record of what we charge. These terms do not fix the prices; the rate card does. If the rate card changes, we tell you before the change takes effect, and you can cancel then if you want to (see section 12).

Automatic top-up

Buying credit is a step you take. If you leave automatic top-up switched on, we top up your credit when the balance falls below the low-balance threshold in the rate card, using the top-up amount in the rate card, and we send you a notice before each automatic charge, so it is never a surprise. You can switch automatic top-up off, and back on, in one tap inside the service. If it is switched off and your credit runs out, your use stops (see section 3).

As at the date of these terms, the rate card lists the server plan at approximately A$14 per month, and prepaid assistant credit at A$10, at a talk rate published on the rate card: [TALK RATE], with automatic top-up of A$10 when the balance drops below A$3. Those figures are the rate card's to set, not these terms'. [to be confirmed: the rate-card figures and whether they are GST-inclusive]

Prepaid credit is spent on the assistant's work, not on time the server is switched on. The talk rate is published on the rate card: [TALK RATE]. We count your usage on our side, and you can see your balance and your usage from inside the service. [to be confirmed: the exact unit of prepaid credit and how it is measured]

Prices are in Australian dollars. Provider costs are ex GST; our customer prices include GST once we are registered for GST. [to be confirmed]

3. What happens when your credit runs out

Your use stops. It does not keep going and it does not run up a bill you did not agree to. You will never get a surprise invoice from us for going over. We never silently buy credit you did not consent to: an automatic top-up happens only if you have left it switched on, and always after a notice.

Your balance is shown inside the service. When it is getting low, it tells you plainly. If automatic top-up is switched on, we send you a notice and then top up as described in section 2. If it is switched off and the balance reaches zero, the service tells you that your credit has run out and offers you a top-up; nothing is charged unless you accept it.

If something is running when your credit reaches zero, we will finish that job rather than cut it off halfway. Then it stops and tells you what happened. [to be confirmed: the exact zero-balance, mid-task behaviour]

You never have to move to a different plan: there are no tiers to be upgraded between, and topping up does not change your server plan. [to be confirmed: consumer-law rules on how a top-up offer must be presented]

4. Month to month. Cancel any time

There is no lock-in, no minimum term and no exit fee. Your server plan is charged monthly and renews each month until you stop it; prepaid credit is yours to use and is not a subscription. You can cancel whenever you like, from inside the service or by emailing [SUPPORT EMAIL]. Cancelling stops the next charge. We do not make you ring anyone or explain yourself.

5. Fair use

This is a service for one person or one household: you. Please do not:

If we think your use is putting the service or other customers at risk, we will tell you what we have seen and ask you to fix it. If it keeps going and we cannot fix it with you, we may pause your service. We will not do that quietly. [to be confirmed]

6. The server is ours

The machine the assistant runs on is ours. We rent it and we look after it. That means we can patch it, restart it, move it, or take it away when we need to. [to be confirmed]

When we need to do maintenance, we will tell you at least [MAINTENANCE NOTICE DAYS] days beforehand where we can, and we will try to do it while you are asleep. If we have to restart something in a hurry (a security fix, for example), we will tell you straight away, not afterwards.

You do not own the server, and you cannot keep it or take it with you. What you own is your data.

7. Your data is yours

Everything you put into the service, and everything the assistant makes for you, belongs to you. We do not claim any ownership of it, and we do not sell it, read it for our own purposes, or use it to train anything. We hold it on your behalf and nothing more. [to be confirmed]

Our job is to stay as far away from your data as we can. It lives on your own server, not in our console or billing records; the encrypted nightly backup is the only data we hold away from your server. The only reason we ever touch it is to keep the service running or to do what you ask us to do with it. Support access happens when you ask, and it is recorded in our append-only support log.

8. Getting your data back, and deleting it

Any time you like, you can email [SUPPORT EMAIL] and ask us for a copy of your data, or ask us to delete it, or both. You do not have to give a reason.

The full detail is in our deletion and handover procedure, which we can send you on request.

9. If you stop paying

If a payment fails, we will email you and give you a chance to fix it. We are not going to switch you off the moment a card expires. [to be confirmed]

If it stays unpaid, we will pause your service. We will keep your data for 30 days from the pause, in case you come back, then delete it as set out above. If you need longer, just ask, and we would rather sort it out than wipe anything.

10. Support

Email [SUPPORT EMAIL]. We are a small business, so this is human support, not a call centre. We reply within one business day, on business days only, and there is no phone line. Emergencies are not covered: this is a personal assistant, not a life-support service. We will always tell you if something is broken, even when we do not know yet how long the fix will take.

11. Our responsibility to you

We will run this service with care and skill, and we will do what we say we will do. [to be confirmed]

To the extent the law allows, our total liability to you is limited to the fees you have paid us in the [MONTHS FOR LIABILITY CAP] before the event that caused the loss, and we are not liable for indirect or consequential losses. That keeps a small business like ours able to keep serving you.

Nothing in these terms limits your rights under the Australian Consumer Law. Our services come with guarantees that cannot be excluded. [to be confirmed in writing by a lawyer: this wording is drafted to match the law, not copied from it]

12. Changes to these terms

We may update these terms from time to time. If a change matters to you (anything about price, your data, or what you get), we will tell you by email before it takes effect, and you can cancel then if you want to, still with no fee. [to be confirmed: notice requirements for consumer contracts]

13. Which law applies

These terms are governed by the laws of [GOVERNING LAW STATE], Australia, and the courts of that state. [to be confirmed] If you are a consumer, this does not take away any right you have to bring a matter in your own state.

14. AI output

The assistant uses AI models to do its work. Output is generated by AI and can be wrong. Please check anything important before you rely on it. [to be confirmed: the model providers' terms require us to tell you this clearly]
